Terms of Service

1. The Service

WhaatWhy AI helps businesses plan, draft, approve, schedule and publish marketing content for their own brands, including AI-assisted writing and images, a content calendar, and publishing to social accounts you connect. Features may change as we improve the Service.

2. Accounts and organizations

• You must be at least 18 and give accurate information. Keep your password and two-step verification secure.
• Each organization has an owner, who controls its members, settings and billing and is responsible for what its members do in the Service.
• One free trial per business. Creating extra accounts to get more trials or credits isn't allowed.

3. Free trial

New organizations get a 14-day free trial with 1 brand and 100 AI credits. No card is needed. When the trial ends, AI features pause until you choose a plan; your brands, posts and schedule stay in your account.

4. Plans, billing and cancellation

• Paid plans are billed monthly in advance through our payment processor, Stripe, and renew automatically each month until canceled. Prices are shown in US dollars and exclude any applicable taxes.
• You can change plans or cancel anytime under Settings → Manage billing. A cancellation takes effect at the end of the current billing period, and you keep access until then. Plan changes are prorated by Stripe.
• Except where the law requires otherwise, payments are non-refundable, including for partial months and unused credits.
• If a payment fails, we'll ask you to update your card; if it isn't resolved, AI features may pause and the subscription may be canceled.
• We may change prices with at least 30 days' notice by email. The new price applies from your next renewal.

5. AI credits

• Each plan includes a monthly allowance of AI credits. One credit is about one cent of AI processing; a written draft uses about one credit and an image about four.
• Allowances reset on the 1st of each month (UTC). Unused credits don't roll over.
• Extra credit packs (500 credits for $10) add to the month in which you buy them, don't roll over, and are non-refundable.
• When credits run out, AI features pause until the next month or until you add credits. Publishing continues.

6. Your content

• You keep ownership of everything you add to the Service and of the content you create with it, including AI output, to the extent the law allows.
• You give us permission to store, process and display your content, and to send it to the services described in our Privacy Policy (such as AI providers and the social networks you connect), only to provide the Service to you.
• You confirm you have the rights to what you upload, including photos, logos and trademarks, and that your posts follow the law and the rules of each platform you publish to.

7. AI-generated content and publishing

• AI output can be inaccurate, incomplete or similar to content made for others. Review everything before you approve it. You are responsible for the content you approve and publish, including any claims, offers and prices in it.
• Nothing is published without approval from someone in your organization. Once approved and scheduled, a post is published automatically at its scheduled time unless you change or cancel it first.
• We aim to publish on time but don't guarantee it: social networks can reject, delay or remove posts, or disconnect accounts, for reasons outside our control.

8. Connected services

The Service works with third-party services such as Meta (Facebook and Instagram), Google, LinkedIn, Stripe and OpenAI. Your use of them is also governed by their terms. We aren't responsible for their availability, changes to their features or policies, or actions they take on your accounts.

9. Acceptable use

You agree not to use the Service to:

• break the law, or infringe anyone's intellectual property, privacy or publicity rights;
• publish content that is deceptive, defamatory, hateful, harassing, sexually explicit, or that makes false or misleading claims about products, prices, health or finances;
• impersonate another person or business, or post to accounts you aren't authorized to manage;
• send spam, or manipulate engagement on any platform;
• interfere with the Service, probe it for vulnerabilities without permission, get around its limits, or copy or resell it.

10. Suspension and termination

You can stop using the Service at any time and cancel your subscription as described above. We may suspend or end access if you break these terms, don't pay, or your use risks harm to others or to the Service; where reasonable, we'll tell you first. After an account ends, we delete its data as described in our Privacy Policy and data deletion page.

11. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise any particular marketing result.

12. Limitation of liability

To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

13. Indemnity

You agree to defend and indemnify us against claims arising from your content, the posts you approve, or your breach of these terms.

14. Changes to these terms

We may update these terms. For material changes we'll give at least 30 days' notice by email or in the app. Continuing to use the Service after a change takes effect means you accept it.

15. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Orange County, California.
